Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Dual Alliance Tech, LLC, doing business as KiWi Recipes ("KiWi Recipes," "we," "us," or "our"). They govern your use of the KiWi Recipes mobile application, browser extension, website, and related services (collectively, the "Service"). Please read them carefully.

1. Agreement to Terms

By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other means. Your continued use after such notice constitutes acceptance of the updated Terms.

2. Who Can Use the Service

You must be at least 13 years old to use the Service. If you are between 13 and 18 (or the age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

By using the Service, you represent that you meet these age requirements. If we learn that a user is under 13, we will terminate their account and delete their data promptly.

3. Accounts

You may use certain features of the Service without creating an account (anonymous mode). To access cloud sync, family sharing, and subscription features, you must create an account using email, Google Sign-In, or Apple Sign-In.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at privacy@kiwirecipes.app if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms, at our discretion and with reasonable notice where practicable.

KiWi Recipes is a recipe management and meal planning platform. The Service includes, but is not limited to:

You retain ownership of all content you create, upload, or import into the Service ("Your Content"), including recipes, photos, notes, and modifications. We do not claim ownership of Your Content.

By using the Service, you grant KiWi Recipes a limited, non-exclusive, worldwide, royalty-free license to store, process, display, and transmit Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or your account.

You represent that you have the right to upload or import any content you provide to the Service, and that Your Content does not infringe the rights of any third party.

6. Recipe Content & Third-Party Websites

The Service allows you to import and save recipes from third-party websites. We extract structured recipe data (ingredients, instructions, cooking times) from these websites for your personal use. We display the source URL and attribution for imported recipes.

We do not claim ownership of recipes from third-party websites. Recipe ingredient lists are generally factual and not subject to copyright, but specific recipe instructions, descriptions, and photographs may be protected by copyright held by the original authors or publishers.

If you are a content owner and believe that material accessible through our Service infringes your copyright, you may submit a notice under the U.S. Digital Millennium Copyright Act (DMCA) to our designated agent at privacy@kiwirecipes.app. Your notice must include: (1) identification of the copyrighted work you believe is infringed; (2) identification of the material you believe is infringing, with enough detail for us to locate it; (3) your contact information (name, address, email, phone number); (4) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; (5) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf; and (6) your physical or electronic signature.

Upon receiving a valid DMCA notice, we will promptly remove or disable access to the allegedly infringing material and notify the user who imported it. If you believe material was removed in error, you may submit a counter-notification to privacy@kiwirecipes.app. Repeat infringers may have their accounts terminated.

We are not responsible for the accuracy, completeness, or safety of recipes from third-party websites. Always verify ingredients and instructions from the original source.

7. AI-Generated Content

IMPORTANT: AI-generated recipes and modifications may contain errors, including incorrect ingredients, inaccurate measurements, or missing allergen information. Always verify AI-generated content before cooking, especially if you have food allergies or dietary restrictions.

The Service uses artificial intelligence (powered by Google Vertex AI) to generate, modify, and translate recipes ("AI Content"). AI Content is provided for informational and inspirational purposes only.

AI Content may contain inaccuracies, including but not limited to: incorrect ingredient quantities, omitted allergens, unsafe food preparation suggestions, or nutritional information errors. We do not guarantee the accuracy, safety, or completeness of any AI Content.

You are solely responsible for reviewing and verifying all AI Content before relying on it, especially with respect to food allergies, dietary restrictions, food safety, and nutritional information. KiWi Recipes is not liable for any harm resulting from reliance on AI Content.

Cooking involves inherent risks including but not limited to burns, cuts, fires, foodborne illness, and allergic reactions. Recipe instructions — whether AI-generated, user-created, or imported from third-party websites — are provided for informational purposes only. You are responsible for exercising safe cooking practices, using proper equipment, supervising cooking at all times, and ensuring food is prepared and stored safely. KiWi Recipes is not liable for any personal injury, property damage, or other harm arising from following recipe instructions obtained through the Service.

8. Nutrition & Health Information

IMPORTANT: Nutrition information, calorie counts, dietary tags, and allergen flags in the Service are estimates and are NOT a substitute for professional medical or dietary advice. If you have food allergies, intolerances, or medical dietary requirements, always consult a qualified healthcare professional and verify ingredients from their original packaging.

The Service provides estimated nutritional information, dietary tags (e.g., vegan, gluten-free, halal), and allergen flags as a convenience. These are computed algorithmically from ingredient data and may be inaccurate or incomplete.

Allergen detection is performed at the ingredient level using keyword matching and classification algorithms. While we strive for accuracy across 200+ dietary tags, we cannot guarantee that every allergen, cross-contamination risk, or dietary concern will be detected. Hidden allergens in processed ingredients, regional ingredient variations, and recipe modifications may cause our system to miss allergens.

THE SERVICE DOES NOT PROVIDE MEDICAL ADVICE. Nutrition information and dietary tags are not a substitute for reading ingredient labels, consulting with a healthcare provider, or exercising your own judgment about food safety. You use allergen filtering and dietary information at your own risk.

9. Family Features

The Service allows you to create a family group and invite other users to join. Family members share access to recipes, meal plans, shopping lists, and stores within the family group. The family owner manages membership and can remove members at any time.

You are responsible for all activity within your family group, including content shared by family members. Do not invite users you do not trust to your family group, as they will have access to shared data.

Family features are intended for household use. The account holder (family owner) must be at least 13 years old and takes responsibility for any minors (13-17) in the family group.

10. Subscriptions & Payments

Some features of the Service may require a paid subscription. Subscriptions are billed through the Apple App Store or Google Play Store, and are subject to the applicable store's terms and refund policies.

We do not directly process payments or store payment card information. All payment processing is handled by Apple or Google. For billing disputes or refund requests, please contact the respective app store.

We reserve the right to change subscription pricing with reasonable notice. Price changes will not affect active subscription periods.

The Service, including its design, code, branding, logo, and all original content, is owned by Dual Alliance Tech, LLC and protected by copyright, trademark, and other intellectual property laws. "KiWi Recipes" and the KiWi logo are trademarks of Dual Alliance Tech, LLC.

Google Cloud, Firebase, and Google Vertex AI are trademarks of Google LLC. Apple, App Store, and Sign in with Apple are trademarks of Apple Inc. All other trademarks are the property of their respective owners.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) recipe content (whether user-imported, AI-generated, or from third-party sources) will be accurate, complete, or safe; (c) allergen detection, dietary tags, or nutritional information will be error-free; or (d) the Service will meet your specific requirements.

Some jurisdictions do not allow the exclusion of implied warranties. In those jurisdictions, the above exclusions apply only to the extent permitted by law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIWI RECIPES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). This limitation applies regardless of whether damages are sought based on contract, tort, negligence, strict liability, or any other legal theory. Some jurisdictions do not allow limitations on liability for personal injury or certain damages. In those jurisdictions, these limitations apply only to the extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless Dual Alliance Tech, LLC from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or third-party rights. This indemnification obligation does not apply to EU/EEA or UK users to the extent prohibited by mandatory consumer protection law.

16. Dispute Resolution

Informal resolution first: Before filing a formal dispute, you agree to contact us at privacy@kiwirecipes.app and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration (U.S. users): If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in California. YOU AND KIWI RECIPES EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

Small claims exception: Either party may bring an individual action in small claims court in the county of San Francisco, California, if the claim qualifies.

EU/EEA/UK users: This arbitration clause does not apply to you. You may bring proceedings in the courts of your country of residence in accordance with applicable consumer protection law. You may also submit complaints to the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr.

17. Territory-Specific Terms

European Union / European Economic Area / United Kingdom

If you are a consumer in the EU, EEA, or UK, nothing in these Terms limits or excludes any rights you have under mandatory consumer protection law in your country of residence, including but not limited to: the right to withdraw from a distance contract within 14 days; your statutory warranty rights; and your right to bring proceedings in the courts of your country of residence.

The limitation of liability and indemnification clauses in these Terms apply only to the extent permitted by the applicable consumer protection laws of your jurisdiction. The disclaimers in Section 13 do not affect your statutory rights.

Japan

If you are a consumer in Japan, these Terms are subject to the Consumer Contract Act (Shouhisha Keiyaku Hou). Any provision that unreasonably restricts consumer rights or unreasonably expands our limitation of liability may be invalid under this Act. In the event of conflict between these Terms and the Consumer Contract Act, the Consumer Contract Act prevails.

Netherlands

For users in the Netherlands, these Terms comply with Book 6, Title 5, Section 3 of the Dutch Civil Code (Algemene Voorwaarden). We provide these Terms in advance and in a format that allows you to store and reproduce them.

The age of digital consent in the Netherlands is 16. Users in the Netherlands must be at least 16 years old to use the Service.

Germany

For users in Germany, the age of digital consent is 16. Users in Germany must be at least 16 years old to use the Service. These Terms are subject to the German Civil Code (BGB). Your statutory rights under the BGB, including your right to withdraw from a distance contract within 14 days (Widerrufsrecht), are not limited by these Terms.

You may exercise your right of withdrawal by sending a clear statement to privacy@kiwirecipes.app within 14 days of subscribing. Upon withdrawal, we will refund any payments made for the unused subscription period. By using a free account, you consent to the immediate provision of the Service and acknowledge that the withdrawal right does not apply to free services already fully performed.

France

For users in France, the age of digital consent is 15. Users in France must be at least 15 years old to use the Service. These Terms are subject to the French Consumer Code (Code de la consommation). You have a 14-day right of withdrawal (droit de rétractation) for paid subscriptions. To exercise this right, contact privacy@kiwirecipes.app.

Spain

For users in Spain, the age of digital consent is 14. Users in Spain must be at least 14 years old to use the Service. These Terms are subject to Spanish consumer protection law (Ley General para la Defensa de los Consumidores y Usuarios). Your statutory rights are not limited by these Terms.

Italy

For users in Italy, the age of digital consent is 14. Users in Italy must be at least 14 years old to use the Service. These Terms are subject to the Italian Consumer Code (Codice del Consumo, D.Lgs. 206/2005). Your statutory rights, including the 14-day right of withdrawal for distance contracts, are not limited by these Terms.

South Korea

For users in South Korea, the age of digital consent is 14. Users under 14 may only use the Service with parental consent. These Terms are subject to the Korean Act on the Regulation of Terms and Conditions (약관의 규제에 관한 법률). Any provision found to be unfair under this Act shall be void. You may file complaints with the Korea Fair Trade Commission.

Brazil

For users in Brazil, these Terms are subject to the Brazilian Consumer Defense Code (Código de Defesa do Consumidor, Law 8.078/1990) and the Marco Civil da Internet (Law 12.965/2014). The arbitration clause in Section 16 does not apply to you. You may bring proceedings in the courts of your domicile. Your rights under the LGPD are described in the Privacy Policy.

Turkey

For users in Turkey, these Terms are subject to Turkish consumer protection law (Tüketicinin Korunması Hakkında Kanun, Law No. 6502). The arbitration clause in Section 16 does not apply to you. You may bring proceedings before Turkish consumer arbitration boards (Tüketici Hakem Heyetleri) or consumer courts. The distance contracts regulation (Mesafeli Sözleşmeler Yönetmeliği) applies to paid subscriptions, including the 14-day right of withdrawal.

India

For users in India, you must be at least 18 years old to use the Service. This is required by the Digital Personal Data Protection Act, 2023 (DPDPA). If you are under 18 and located in India, you may not create an account or use the Service. These Terms are subject to the Indian Consumer Protection Act, 2019 and the Information Technology Act, 2000. The arbitration clause in Section 16 does not apply to you. Disputes shall be subject to the exclusive jurisdiction of courts in India.

Canada

For users in Canada, these Terms are subject to applicable federal and provincial consumer protection legislation, including PIPEDA and, for Quebec residents, the Consumer Protection Act and Law 25. The arbitration clause in Section 16 does not apply to you where prohibited by applicable provincial law. You may bring proceedings in the courts of your province of residence.

Australia and New Zealand

For users in Australia, these Terms are subject to the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010). Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement. For users in New Zealand, the Consumer Guarantees Act 1993 applies similarly.

Thailand

For users in Thailand, these Terms are subject to Thai consumer protection law. The arbitration clause in Section 16 does not apply to you. You may bring proceedings in the Thai courts. The Thai PDPA applies to the processing of your personal data as described in our Privacy Policy.

Indonesia

For users in Indonesia, these Terms are subject to Indonesian consumer protection law (Law No. 8 of 1999). The arbitration clause in Section 16 does not apply to you. Disputes shall be subject to the jurisdiction of Indonesian courts. The PDP Law (Law No. 27 of 2022) applies to the processing of your personal data.

Mexico

For users in Mexico, these Terms are subject to the Federal Consumer Protection Law (Ley Federal de Protección al Consumidor). The arbitration clause in Section 16 does not apply to you. You may bring proceedings before PROFECO (Procuraduría Federal del Consumidor) or Mexican courts. Your ARCO rights under the LFPDPPP are described in our Privacy Policy.

Taiwan

For users in Taiwan (Republic of China), these Terms are subject to the Consumer Protection Act. The arbitration clause in Section 16 does not apply to you. Disputes shall be subject to the jurisdiction of Taiwan courts. Your rights under the Personal Data Protection Act are described in our Privacy Policy.

Israel

For users in Israel, these Terms are subject to the Consumer Protection Law, 5741-1981 and the Standard Contracts Law, 5743-1982. Any provision found to be a restrictive condition (tna'i mekappeach) under the Standard Contracts Law may be voided or modified by a court. Your rights under the Protection of Privacy Law are described in our Privacy Policy.

18. Termination

You may stop using the Service at any time. You may delete your account and associated data through the app settings or by emailing privacy@kiwirecipes.app. Upon account deletion, we will delete your personal data within 30 days, except where retention is required by law.

We may suspend or terminate your access to the Service if you materially breach these Terms, with reasonable notice where practicable. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) will survive.

19. General Provisions

Governing law: These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. For EU/EEA/UK consumers, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of residence.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and KiWi Recipes regarding the Service. Any prior agreements or understandings are superseded.
